University of Arkansas for Medical Sciences

Article I                      Name

The organization will be called The College of Pharmacy Alumni Association of the
University of Arkansas for Medical Sciences.

Article II                     Purpose

The mission of the College of Pharmacy Alumni Association of the University of Arkansas for Medical Sciences is to promote fellowship and service among its members.

Goals:

1)         To promote the interests and standing of the College of Pharmacy for the mutual benefit of faculty, students, and alumni.

2)         To promote the art and science of pharmacy by stimulating communication among its members.

3)         To encourage gifts of time, talent and financial resources that benefit the growth and development of the college.

Article III                   Membership and Participation 

Section 1         Active Membership.  Any graduate of the College of Pharmacy of the University of Arkansas for Medical Sciences shall be eligible for Active Membership.   

Section 2         Associate Membership.  Any person associated with the practice of pharmacy in Arkansas and not a graduate of the College of Pharmacy shall be eligible for Associate Membership.

Section 3         Honorary Membership.   Any person designated by the Executive Committee of the organization for distinguished service to the profession of pharmacy shall be eligible for Honorary Membership.

Article IV                    Dues

                       The Executive Committee shall annually review the financial condition of the Association and recommend appropriate dues for the coming fiscal year.  Active and Associate Members may be assessed dues, provided that new graduates shall owe no dues from the date of graduation, until the beginning of the first year of full membership.  (Note: currently no dues are being assessed, and all alumni are considered as members of the Association.)

Article V                     Officers

Officers of this Association shall be: President, President-Elect, Vice President, and Immediate Past President. Officers shall be elected from among Active Members by ballot.  Active Members shall be qualified to vote for officers.  The Executive Committee shall serve as the Nominating Committee for officers.   Individual Active Members may nominate candidates from the floor, provided that the person nominated has agreed in advance to be nominated.  Each officer shall serve a one-year term of office.  No officer shall be elected to the same office for more than two consecutive years.

Section 1.         President.  This officer shall be the executive of the Association, and shall preside at all meetings of the Association.

Section 2.         President-Elect.  This officer shall serve as President in the absence of the President, and shall be in charge of planning activities for the year that he/she will serve as President.

Section 3.         Vice President.  This officer shall serve as President in the absence of the President and the President-Elect, and shall be charged with preparing for leadership as President-Elect and then President.

Section 4.         Immediate Past President.  This officer shall serve during the year immediately following his/her tenure as president and will attend all meetings, serve as a consultant to the current officers and provide advice, guidance and leadership to assure continuity of the Association leadership.

Article VI        Executive Committee

The Executive Committee shall consist of the President, President-Elect, Immediate Past President, Vice President, a student representative which shall be the Junior class President, one member chosen from each of the United States Congressional Districts in the state, and one out-of-state member.  The Executive Committee shall choose the members from the districts and from out-of-state at the last regular meeting of each fiscal year.  The Executive Committee shall have charge of the Association, its funds and property.  The Executive Committee shall conduct elections of officers.  The Executive Committee shall designate Honorary Members.  The Executive Committee shall fill any vacancy in office that occurs between elections.  The Executive Committee shall meet at least twice yearly or when called by the President.

Article VII      Meetings 

The Association shall meet at least once a year, at times and places to be announced by the Executive Committee. Active Members shall be called upon to vote on issues raised in these meetings.  A quorum shall consist of those Active Members who are present for a regularly scheduled meeting.  The Executive Committee may call other meetings, if determined to be necessary.

Article VIII     Committees 

The Executive Committee shall appoint committees as needed.  The committees may consist of Active, Associate of Honorary Members.  All committee members shall have voting privileges in committee meetings.  The committee chairperson shall report the committee’s recommendations back to the Executive Committee after each meting for consideration.

Article IX        Revision of By-Laws and Amendments

These By-Laws may be revised by a majority vote of the Executive Committee, with subsequent approval by a majority of Active Members at the next regularly scheduled meeting.   Active Members shall be notified of changes to By-Law structure at least one week prior to scheduled meetings.

Article X         Termination

If the Association terminates its legal existence, its remaining assets shall be used to support the University of Arkansas for Medical Sciences College of Pharmacy, in a fashion to be designated by the Executive Committee.
